Terms of Service

These Terms of Service ("Terms") form a legal agreement between you and Eightbot OÜ, a private limited company registered in the Republic of Estonia ("OKKAI", "we", "us", "our"). By creating an account or using the OKKAI mobile application and any associated services (the "Service"), you agree to these Terms.

1. The Service

OKKAI is an AI-powered nutrition tracking application. It estimates the calories and nutritional content of meals from photos and text descriptions and tracks your daily intake against goals you set.

2. Eligibility and account

You must be at least 16 years old to use OKKAI. By signing up you confirm you meet this requirement. You are responsible for the accuracy of the information you provide and for all activity under your account. Keep your sign-in credentials secure.

3. Subscriptions and payments

OKKAI is free to download. Certain features (together, "Premium") are available only to users with an active paid subscription purchased through Apple's App Store.

3.1 Plans

• Premium Monthly — charged monthly at the price shown in the App Store for your region.
• Premium Yearly — charged yearly at the price shown in the App Store for your region, including a 3-day free trial for first-time subscribers.

3.2 Auto-renewal

Payment will be charged to your Apple ID account at confirmation of purchase. Your subscription automatically renews unless auto-renew is turned off at least 24 hours before the end of the current period. Your account will be charged for renewal within 24 hours prior to the end of the current period. You can manage and cancel your subscription at any time by going to Settings → [your name] → Subscriptions on your iPhone or iPad. Cancelling stops future renewals; it does not refund the current period.

3.3 Free trial

Any unused portion of a free trial period will be forfeited when you purchase a subscription. If you do not cancel before the trial ends, your subscription begins and your Apple ID is charged.

3.4 Price changes

We may change subscription prices. Apple will notify you and require re-consent for any price increase in accordance with App Store rules.

3.5 Refunds

All payments are collected by Apple. Refund requests must be directed to Apple at reportaproblem.apple.com. We do not process refunds directly and have limited ability to influence refund decisions.

3.6 Statutory right of withdrawal (EU consumers)

Under EU consumer law you normally have 14 days to withdraw from a distance contract. By starting to use a Premium feature during the withdrawal period you request immediate performance of the contract and acknowledge that you lose the right of withdrawal once the service has been fully supplied.

4. Acceptable use

You agree not to:

• Use OKKAI for any unlawful purpose;
• Upload photos that contain other people without their consent, sexually explicit content, or content that infringes third-party rights;
• Reverse-engineer, decompile, or tamper with the app or its APIs;
• Scrape, bulk-download, or abuse the Service;
• Attempt to bypass paywalls, authentication, or rate limits;
• Resell or redistribute access to the Service.

We may suspend or terminate accounts that violate these rules without refund.

5. Your content

You keep ownership of the food photos, text entries, and other content you submit ("Your Content"). You grant us a worldwide, non-exclusive, royalty-free licence to host, store, process, and display Your Content for the purpose of providing and improving the Service. This licence ends when you delete Your Content or your account, except where retention is required by law (for example billing records).

6. AI-generated output

OKKAI uses third-party large-language models to estimate nutrition data from your photos and descriptions. Estimates may be inaccurate. You should verify figures before making decisions that depend on them — for example medical, dietary, or athletic decisions. We disclaim liability for inaccuracies in AI output beyond what is required by applicable law.

7. Not medical advice

OKKAI is a nutrition tracking tool, not a medical device. The Service does not diagnose, treat, cure, or prevent any disease and is not a substitute for professional medical advice. Consult a qualified healthcare professional before making changes to your diet, exercise, or medication. Do not use OKKAI to manage a medical condition without professional supervision.

8. Intellectual property

The Service, including the name "OKKAI", logos, trademarks, code, designs, and text, is owned by Eightbot OÜ or its licensors and is protected by intellectual property law. These Terms grant you a limited, non-transferable, revocable licence to use the Service for personal, non-commercial purposes.

9. Third-party services

The Service integrates with Apple iCloud, Apple Health (HealthKit), Apple App Store, Sign in with Apple, Sign in with Google, and AI model providers. Your use of those third-party services is governed by their own terms.

10. Disclaimer of warranties

The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose, merchantability, and non-infringement. We do not warrant that AI nutrition estimates are accurate, that the Service will be uninterrupted, or that errors will be fixed.

11. Limitation of liability

To the extent permitted by law:

• We will not be liable for indirect, incidental, consequential, or punitive damages;
• Our total aggregate liability in any 12-month period is limited to the amount you paid us in that period, or EUR 100 if that amount is zero;
• Nothing in these Terms limits liability that cannot lawfully be limited, including for gross negligence or wilful misconduct, or statutory consumer rights in Estonia and the EU.

12. Termination

You can delete your account at any time from within the app (Settings → Delete Account). We may terminate or suspend your access if you breach these Terms. Sections that by nature should survive termination (intellectual property, liability, governing law) will survive.

13. Changes to the Terms

We may update these Terms from time to time. Material changes will be announced in-app. Continued use of the Service after changes take effect means you accept the new Terms.

14. Governing law and jurisdiction

These Terms are governed by the laws of the Republic of Estonia, excluding its conflict-of-law rules. Disputes that cannot be resolved informally will be submitted to the Harju County Court (Harju Maakohus) in Tallinn, Estonia. Nothing in this section deprives you of the protection of mandatory consumer-law rules in the country where you habitually reside.

15. EU Online Dispute Resolution

The European Commission provides an online dispute resolution platform at ec.europa.eu/consumers/odr. We are not obliged to participate in consumer alternative-dispute-resolution proceedings.

16. Apple End User License Agreement Terms

This section contains the additional terms that apply because OKKAI is distributed through Apple's App Store. These Terms are concluded between you and Eightbot OÜ only, and not with Apple. Apple is not a party to these Terms.

16.1 Acknowledgement

You and Eightbot OÜ acknowledge that these Terms are concluded between you and Eightbot OÜ only, and not with Apple, and that Eightbot OÜ, not Apple, is solely responsible for OKKAI and its content.

16.2 Scope of Licence

The licence granted to you for OKKAI is limited to a non-transferable licence to use OKKAI on any Apple-branded product that you own or control, and as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions, except that OKKAI may also be accessed and used by other accounts associated with the purchaser via Family Sharing or volume purchasing.

16.3 Maintenance and Support

Eightbot OÜ is solely responsible for providing any maintenance and support services with respect to OKKAI, as specified in these Terms, or as required under applicable law. You acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to OKKAI.

16.4 Warranty

Eightbot OÜ is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of OKKAI to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for OKKAI to you; and, to the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to OKKAI. As between Apple and Eightbot OÜ, any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any warranty will be the sole responsibility of Eightbot OÜ.

16.5 Product Claims

You and Eightbot OÜ acknowledge that Eightbot OÜ, not Apple, is responsible for addressing any claims by you or any third party relating to OKKAI or your possession and/or use of OKKAI, including but not limited to: (i) product liability claims; (ii) any claim that OKKAI fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation, including in connection with OKKAI's use of any Apple frameworks such as HealthKit.

16.6 Intellectual Property Rights

You and Eightbot OÜ acknowledge that, in the event of any third-party claim that OKKAI or your possession and use of OKKAI infringes that third party's intellectual property rights, Eightbot OÜ, not Apple, will be solely responsible for the investigation, defence, settlement and discharge of any such intellectual property infringement claim.

16.7 Legal Compliance

You represent and warrant that: (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

16.8 Developer Name and Address

Any questions, complaints or claims with respect to OKKAI should be directed to Eightbot OÜ at support@okkai.app.

16.9 Third-Party Terms of Agreement

You must comply with applicable third-party terms of agreement when using OKKAI.

16.10 Third-Party Beneficiary

You and Eightbot OÜ acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of these Terms, and that, upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary thereof.
